港宽科技通用条款和条件——产品供货及安装 (“条款和条件”)

1.      定义

1.1               JOS”系指根据本条款和条件向客户提供产品供货和/或服务的港宽科技(上海)有限公司或其分公司。

1.2               “客户”系指向JOS购买产品和/或服务、并受本条款和条件制约的一方。

1.3               协议”系指双方签署的报价单、本条款和条件、所有附件和在以后由双方通过书面同意的修订或补充。

1.4               合同总价系指在客户和JOS之间已经达成一致的,在报价单中列出的服务、产品的合同总计价格。

1.5               硬件系指在报价单中列出的由JOS提供并将安装在系统上的硬件。

1.6               生产商系指JOS在本协议的服务范围内需要向客户提供的产品的生产商。

1.7               正常工作时间系指星期一至星期五,9:00am-18:00pm,法定节假日除外。

1.8               双方系指JOS和客户的合称。

1.9               产品系指按照本协议客户购买的所有硬件和/或软件,详见报价单中所列产品清单。

1.10            报价单系指双方就JOS向客户提供产品和服务所签署的报价单。

1.11            服务系指按照报价单中的规定需要提供的服务。

1.12            软件系指在报价单中给出的需要加载或安装到系统之上的软件。

1.13            系统系指按照本协议需要由JOS进行软件和硬件安装的客户系统。

2.      合同总价的支付

 

2.1      在报价单中已列出合同总价。该合同总价包括了以下各项费用:按照适用的中华人民共和国(“中国”)法规进行征收的增值税或是等同的税金、国内的运输费、保险费、以及客户对软件所拥有的非排它性质的和不可转让的使用授权。

 

2.2      在报价单中所指定的合同总价适用于按照在签署报价单时双方同意的技术指标向客户所提供的产品和服务。但是合同总价将会根据后续发生的对上述技术指标的修改而进行相应的变化,无论这些修改是由客户提出的,还是客户所同意或知悉的。

 

2.3      就向客户所提供的软件产品,客户应根据这些软件产品各自许可协议中的条款执行。如果在软件产品的许可协议中的条款和这里的条款和条件发生了抵触,则依照软件产品的许可协议中的条款为准。在此情况下如有必要,客户需与JOS或是软件产品的所有权人另外签订一份特定格式的软件许可协议。

 

2.4      所有的报价单的有效期为发出日期后14个日历日内,如客户未能在上述日期内书面确认,则自动作废。

 

2.5      除非在报价单中另有规定,否则合同总价的支付方式为:在产品的实际交付以前或提供服务以前(以时间在先的为准)需要先行支付50%的不可退回的先期付款,并且在产品/服务的实际交付完成并由JOS提交发票以后结清余款。

 

2.6      客户不得以任何原因减少或抵扣合同总价,或是扣押任何应该支付的款项。

 

2.7      如客户未能全额按期支付合同总价,则在对JOS其它权利和补救措施不产生任何影响的前提下,JOS可以针对逾期支付的款项收取从到期日到实际全额支付日之间的罚金,罚金的收取标准为按日收取到期未付款项的千分之五(5‰)。

 

2.8      如因场地不具备等客户原因导致推迟送货或推迟施工超过三十天的,且经JOS书面催告客户要求安排送货或施工通知后五日内客户仍未安排送货或施工的,则在前述五日期限届满之日视为本协议所有款项的到期之日,无论货物是否已经交付或安装,客户均应在收到JOS开具的发票后15日内支付本协议所有未付的款项。在JOS收到所有合同款项后,JOS仍应按照客户指定的合理的时间按合同规定交付产品和/或提供服务。

 

3.      交付

 

3.1      一旦客户接受报价单,则无论是否存在理由,该客户都不得再全部或部分取消该报价单,除非是取得了JOS的书面同意则除外,否则客户将按照取消的产品/服务的价格的百分之一百(100%)向JOS支付违约金。

 

3.2      JOS将尽力按照双方所同意的时间和地点交付产品/提供服务。任何由JOS提出的交付时间或日期都是基于诚信的原则,且基于估计而提出。除因JOS自身重大过失或故意行为导致的延误外,JOS将不会为由于交付中发生的延误而引发的任何结果或给客户造成的任何损失或损害承担责任。

 

3.3      除非双方另外协商一致,否则如果在所设定的交付日以后的三天内客户拒绝接收或未能接收交付的产品 (由于JOS的过错所导致的则除外),则在对JOS的其它权利和补救措施不产生任何影响的前提下,JOS有权立即终止本协议,,并收取合同总价的百分之一百(100%)作为违约金。

 

3.4      在客户按照本协议中的条款全额支付合同总价以后,产品的所有权才转移给客户。

 

3.5      虽然存在3.4条款中的规定,但是一旦产品已经交付给客户,则客户就需要承担相应的损失与损坏的风险。

 

3.6      一旦产品已经交付,JOS将按照双方同意的服务时间表提供在本协议下所要求的服务。

 

3.7      客户在签署JOS的送货单之前应检查交付的产品是否完好及规格型号是否正确。如客户签署了JOS的送货单,JOS将不接受任何针对运输过程中的损坏或产品丢失的索赔。

 

4.      与服务有关的现场准备(如果提供安装)

 

4.1      客户需要按照JOS的要求来对现场进行准备,使得在现场可以为系统中的产品的安装和运行提供所需要的适宜的基础和环境条件。

 

4.2      客户应协调其他与服务相关的各施工单位的关系,避免直接或间接影响JOS施工进度。

 

5.      安装和验收(仅适用于安装)

 

5.1      对于产品的安装必须是由JOS来完成。交付和安装都必须是在JOS的正常工作时间内进行。如果客户要求在上述的正常工作时间以外进行交付或安装,则JOS将根据JOS届时所适用的费率按照时间和材料消耗收取相应的额外费用。

 

5.2      在完成了产品的安装工作以后,客户的代表应就此签署一份验收合格报告。

 

6.      保修和担保

 

6.1      JOS将在其正常的工作时间内根据生产商的相应条款,将生产商所提供的适用保修服务转嫁给客户。该保修服务并不适用于那些序列号码已经被修改或删除的产品,同样也不适用于那些由于滥用、疏忽、在异常环境情况下进行操作、或由非JOS的授权人员所进行的修理而导致损坏的产品。

 

6.2      在保修期内,客户在向JOS提出保修要求的时候,需要说明产品的故障或重大缺陷的类型和实质。在接收到了这类信息以后,JOS可以选择对系统进行测试和检查,或要求将发生问题的部件送回JOS、该等产品的原供应商或生产商。

 

6.3      除非在本协议中另有规定,否则JOS不再提供其它的明示或暗示的担保,包括但不仅限于对于产品适销性或对于某个特定目的的适用性的暗示担保。JOS明确表示在中华人民共和国法律允许的最大限度下拒绝提供所有这些担保。

 

7.      免责和责任限制

 

7.1      由本协议所引起的或与本协议相关的JOS的赔偿责任总额,无论是任何原因所导致,也不论是基于合同违约或侵权行为(包括过失),将以合同总价的百分之二十(20%)为限。

 

7.2      在任何情况下,JOS对于由于客户购买、操作和使用产品和服务(包括但不限于由于系统操作中发生的故障或中断所导致的损失和损害)过程中所导致的任何间接损失、损害、成本和费用(包括但不限于收入和利润的损失、数据损坏或损失、业务中断或任何形式的特殊的、间接的或附带性的损害)、或者是由任何第三方或多方对客户提起的诉讼、索赔和法律程序都不承担任何的责任。

 

7.3      对于由于客户或其职员没有能够履行或违反了其在本协议下的义务而引发的针对JOS的任何损害、罚金、成本和费用,客户都应负责并确保JOS能够免除由此而承担的责任或遭受损失。

 

7.4      如因生产厂家或上游供应商原因(包括但不限于停产、断货、价格调整、产能限制、交付延迟或厂家单方取消订单等)导致本协议项下义务无法履行或延迟履行的,该等情形不构成JOS违约,JOS不承担任何违约责任或赔偿责任。对于已收取但对应未交付部分的款项(如有),JOS将予以退还。

 

8.      维护服务

 

8.1      在产品保修期结束以后,JOS将根据客户要求就保修期满后的后续维护服务向客户重新提供报价,并另行签订维护协议。

 

9.      知识产权

 

9.1      客户将不能获得该产品所涉及的商标、设计、版权、专利或其它知识产权或所有权。这些权利将仍旧归相应的生产商所有。

 

10.     转让

 

10.1    在没有获得另一方书面同意的前提下(该同意不应被不合理地予以保留),任何一方不得将本协议下的任何权利或义务进行转让。

 

11.     不可抗力

 

11.1    本协议中的任何一方都无义务对由于不可抗力所导致的对本协议义务的无法履行或延迟履行而向另外一方承担任何责任,但是遭受不可抗力影响的一方必须及时就此通知另外的一方。在本协议中,“不可抗力”是指不能预见、不能避免并不能克服的客观情况,包括但不限于天灾、暴风、地震、洪水、火灾或其它自然灾害、暴动、战争(不论是宣告的或未宣告的)、动乱、罢工、政府禁令、恐怖活动、黑客攻击、计算机病毒感染或断电或电力供应不足等其他不可抗力原因。

 

11.2    如果不可抗力从根据前款规定所发出的通知之日起一直延续了超过6个月的时间,则任何一方就可以立即终止本协议中尚未执行的部分。任何一方都不会因为按照本条规定中的规定终止合同而向另外一方承担任何的责任。

 

12.     终止


12.1    若一方当事人违反了本协议项下的任何义务,且在收到对方当事人就该违约情形向其发出的书面通知后的30日内未能对上述违约进行补救,则守约方将有权终止本协议。

12.2    在下列情形中,对方当事人可立即终止本协议:已就一方当事人终止营业或解散发布了命令或通过了决议;一方当事人的全部资产或大部分资产上设立的抵押权已被实现,或就一方当事人的全部资产或大部分资产指定了接收人或管理人或类似的管理人;一方当事人已被宣布破产或进入了清算程序。

12.3    如发生以下任何一种情形:

(1)   客户延迟支付任何到期款项超过三十(30)天;

(2)   客户进入清算程序(不论是强制性清算或自发性清算,但如为了合并或重组除外)或破产;

(3)   客户与其债权人达成债权债务安排或为了债权人的利益做出任何转让安排;

(4)   任何客户财产被予以扣押或执行;或

(5)   客户停止支付全部或任何部分的合同款项,或可能停止支付全部或任何部分的合同款项,或客户被认为是资不抵债,或当合同款项到期后无力偿付全部或任何部分的合同款项,或客户承认其无力支付全部或任何部分的合同款项。

则在前述任何一种情形下,(1)JOS有权立即终止本协议;(2)本协议未付合同款项及任何其他应支付给JOS的款项即视为立即到期,并按每天千分之五(5‰)的比率按天计算逾期违约金,直到款项支付之日;(3)在不影响JOS根据本协议享有的其他权利和救济的情况下,JOS有权依法进入产品所在的或被安装的任何场所、土地或建筑内取回产品和/或转卖产品。

 

12.4    如客户逾期支付任何本协议到期应付的款项,在不影响JOS根据本协议享有的其他权利和救济的情况下,JOS有权立即停止交付产品和/或停止任何服务,直到该等违约行为得以补救。

12.5    无论本协议因何种原因而被予以终止,任何一方当事人在本协议终止前因本协议所产生的任何义务都不得因本协议的终止而解除。

13.     第三方当事人之工作

13.1    本协议不限制或排除JOS聘任其它第三方代理商、承包商、分包商或代表人履行本协议,但JOS仍需就上述第三方当事人履行的工作对客户负责。

14.     协议完整性

 

14.1    本协议就已经构成了在双方之间就相应事项所达成的全部合约,并取代所有双方在以前达成的针对该事项的口头或书面的协议、通讯、谅解和安排(如有)。

 

15.     修订

 

15.1    除非是由协议中所有各方通过书面签署同意,否则在此的条款和规定都不能进行变更或修改。

 

16.     通知

 

16.1    所有和本协议相关的通知、批准、同意或其它的通讯都必须是书面的,而且必须通过以下的方式送达:

 

(a)      送到一方的相应地址;

(b)      通过预付费的邮件寄到相应地址或通过电子邮件发送到报价单载明的电子邮件地址或接受方之后书面告知的其他电子邮件地址

(c)      送给报价单中载明的联系人或接受方之后书面告知的其他联系人。

 

16.2    通知在被收到时刻正式开始生效,除非在通知中给出了一个更晚的生效时间。

 

17.     可分割性

 

17.1    如果由于任何主管机构的原因,使得本协议中条款和条件中的某一条全部或部分失效或不能加以执行,则这些条款和条件中其它各条以及该条款中剩余部分的有效性不会受到任何影响。

 

18.     不弃权

 

18.1    任何一方没有或延迟行使其在本协议下的权利或救济都不得被视作是对该权利或救济的放弃,也不妨碍该方将来对该等权利或救济的行使或执行,除非该协议方通过书面形式明确表示放弃该权利则除外。

 

18.2    任何违反本协议约定或不履行本协议条款的责任均不得被予以豁免或免除,除非协议双方通过书面形式明确表示同意免除的除外。

 

19.     适用法律

 

19.1    本协议将受到中华人民共和国现行法律的管辖和解释。

 

20.     争议解决

 

20.1     凡因本合同引起的或与本合同有关的任何争议,均应提交上海国际仲裁中心按照申请仲裁        时该仲裁中心现行有效的仲裁规则进行仲裁。仲裁裁决是终局的,且对双方都有约束力。仲裁庭由三(3)名仲裁员组成,有双方各自指定一名仲裁员,首席仲裁员由仲裁中心指定。仲裁程序应以中文为语言进行,仲裁地为上海。

 

21.     冲突

 

21.1    如本协议与就本协议所述事项相关的客户的任何采购订单、协议、合同、文件或其他类似文本中的条款和条件(无论是否签署)(“客户采购订单”)有冲突或不一致,以本协议为准,且本协议应作为唯一的适用的合同文本。

1                     Definitions

 

1.1               JOS” shall mean HKBN JOS (Shanghai) Company Limited (港宽科技(上海)有限公司) or its Branch(es) which shall supply products and/or render services to the Customer in accordance with the Terms and Conditions herein.

 

1.2               The Customer” shall mean the party which purchases products and/or services from JOS subject to the Terms and Conditions herein.

 

1.3               Agreement” shall mean the Quotation signed by Parties, these terms and conditions, all its appendices as well as amendments or addenda that may subsequently be agreed upon in writing between the Parties.

 

1.4               Contract Sum” shall mean the total contract sum for the Services, the Products as set out in the Quotation as accepted and agreed between the Parties.

 

1.5               Hardware” shall mean the hardware as set forth in the Quotation to be supplied by JOS and to be installed into the System.

 

1.6               Manufacturer” shall mean the manufacturer of the Products of which JOS is required to provide to the Customer within the scope of the Services under this Agreement.

 

1.7               Normal Working Hours” shall mean 9:00 a.m. to 18:00 p.m. from Monday to Friday except local statutory public holidays.

 

1.8               “Parties”   shall mean JOS and the Customer collectively.

 

1.9               Products” shall mean all the Software and/or Hardware purchased by the Customer under this Agreement and the list of which is set out in the Quotation.

 

1.10            Quotation shall mean the quotation signed by the Parties in relation to the supply of Products and Services by JOS to the Customer.

 

1.11             “Services” shall mean those services to be provided in accordance with the Quotation.

1.12             “Software” shall mean the software as set forth in the Quotation to be supplied by JOS and to be loaded or installed into the System.

 

1.13            System” shall mean the system of the Customer where the Software and Hardware will be installed.

 

2                     Payment of Contract Sum

 

2.1               The Contract Sum is as set out in the Quotation and is inclusive of value added or equivalent taxes levied under applicable regulations of the People’s Republic of China (“PRC”) as well as domestic transportation, insurance costs and license fee for the Customer’s non-exclusive and non-transferable right to use the Software.

 

2.2               The Contract Sum specified in the Quotation are based on the supply of the Products and Services to the agreed specifications at the date hereof and are subject to adjustment in the event of any subsequent modification being incorporated either at the request of or with the consent or knowledge of the Customer.

 

2.3               Software Products are provided subject to the terms and conditions of their respective licence agreement and if there are conflicts between the terms of the license agreement and these Terms and Conditions, the terms of the license agreement prevail.  Whenever is required under the circumstances, the Customer shall execute a separate software license agreement with JOS or the owner of the Software in the prescribed form.

 

2.4               All quotations shall be valid for 14 days after the date of issuance and shall automatically expire thereafter if not confirmed by the Customer in writing within the aforementioned time frame.

 

2.5               Unless otherwise agreed in the Quotation, the Customer shall make a non-refundable initial payment of 50% of the Contract Sum before the delivery of the Products or rendering of the Services (whichever is earlier) and the balance shall be due and payable upon the delivery of the Products and presentation of invoice by JOS.

 

2.6               The Customer is not entitled to make any deduction, set-off or withhold payment for any sum for any reason whatsoever.

 

2.7               If the Customer fails to pay the Contract Sum in full when due then without prejudice to any other right or remedy available to JOS, JOS may charge the Customer penalty on each overdue sum from its due date until payment in full is received. Penalty shall be charged at the rate of 0.5% per day on each overdue sum.

2.8               If the confirmed delivery schedule or service schedule has been postponed for more than 30 days due to causes attributable to the Customer (such as inadequacy of working conditions of the installation site etc.), and the Customer further failed to perform this Contract within 5 days after JOS has requested the Customer to take delivery of Products or arrange commencement of the Services through a written notice rendered to the Customer, then after the expiry date of the aforementioned 5 days deadline, all unpaid sum hereunder shall be regarded as due and payable. Without regard to the Products delivered or installed, the Customer should make all such payment to JOS within 15 days after receipt of the invoices from JOS. After having received the full payment of the Contract Sum of this Contract, JOS should continue to delivery the Products and/or perform the Services in accordance to this Contract at the date designated by the Customer.

3                     Delivery

3.1               Once the Quotation has been accepted by the Customer it cannot be cancelled by the Customer in whole or in part, with or without cause, unless JOS’ written consent has been obtained. Otherwise, JOS is entitled to 100% of the purchase price for the cancelled Products/Services as liquidated damages.

3.2               JOS will endeavor to deliver the Products at the time and to the place as agreed by the Parties. Any time or date for delivery given by JOS is given in good faith but is an estimate only. Save where such delay is caused by JOS’s own gross negligence or wilful misconduct, JOS shall not be liable for the any consequences caused, losses or damages suffered by the Customer as a result of any delay in delivery however caused.

3.3               Unless otherwise agreed, if the Customer refuses or fails to take delivery of the Products (otherwise than by reason of JOS’ default) after 3 days of the expected delivery date, then, without prejudice to any other right or remedy available to JOS, JOS shall be entitled to terminate this Agreement with immediate effect and shall be entitled to 100% of the Contract Sum as liquidated damages.

3.4               Title in the Products shall not pass to the Customer until the Customer has paid the Contract Sum in full in accordance with the terms of this Agreement. 

3.5               Notwithstanding clause 3.4, risks of loss and damages shall vest in the Customer upon delivery of the Products.

3.6               Once the Products are delivered, JOS shall commence the Services under this Agreement according to the service schedule agreed by both Parties.

3.7               The Customer shall check and verify the completeness and specifications of the Products delivered before signing the delivery note of JOS. Once the Customer has signed the delivery note of JOS, JOS will not accept any claim for damage in transit or loss of the Products.

4                     Site Preparation for Services (if installation is provided)

4.1               The Customer shall prepare the site in accordance with JOS’ request so that the same has proper foundations and environmental conditions for the installation and operation of the Products in the System.

4.2               The Customer shall be responsible for coordinating with the other parties concerned in relation to the Services, in order to avoid the direct or indirect impact on the implementation schedules of JOS.

5                     Installation and Acceptance (for installation only)

5.1               Installation of the Products shall be performed by JOS.  Delivery of the Products and installation services shall be performed during JOS’ Normal Working Hours.  If the Customer requires delivery or installation to be performed outside such period of time, JOS shall be entitled to charge additional fees according to JOS’ then and current fee scale on a time and material basis.

5.2               Upon completion of the installation of the Products, an acceptance report shall be signed by the representatives of the Customer.

6                     Warranty

6.1               JOS will, during Normal Working Hours of JOS and subject to the Manufacturer’s terms and conditions, pass through to the Customer the Manufacturer’s warranty where applicable. Such warranty shall not apply to the Products whose serial numbers have been altered or removed, nor to the Products which is damaged due to abuse, neglect, operation under abnormal environmental conditions or repair other than as authorized by JOS.

6.2               During the warranty period, the Customer shall inform JOS any claim under warranty by specifying the type and nature of the material defects.  Upon receipt of such information JOS shall have the option of testing and inspecting the System or have the defective part sent to JOS or the original supplier or Manufacturer of the relevant Products.

6.3               Save as otherwise provided in this Agreement, JOS makes no other warranties, whether express or implied, including but not limited to the implied warranties of merchantability or fitness for a particular purpose, and all such warranties are expressly excluded to the extent permitted under the laws of the PRC.

7                     Disclaimers and Limitation of Liabilities

7.1               JOS’ total aggregate liabilities arising from or in connection with this Agreement, for any cause whatsoever and regardless of the form of action, whether in contract or tort (including negligence) or otherwise, shall be limited to 20% of the Contract Sum.

7.2               Under no circumstances shall JOS be liable for any indirect losses, damages, costs and expenses suffered by the Customer (including without limitation, any loss of revenue and profits, damage to or loss of data, business interruption or any special indirect or consequential damages of any nature whatsoever) or any actions, claims and proceedings taken against the Customer by any third party or parties in connection with, incidental to and consequential upon the purchase, operation and use of the Products and Services, including without limitation to any losses and damages resulting from the interruption or failure in the operation of the System.

7.3               The Customer agrees to indemnify and hold JOS harmless against all damages, penalties, costs and expenses which JOS may become liable as a result of any failure or breach by the Customer or its employees of its obligations under this Agreement.

7.4               Where JOS is unable to perform or is delayed in performing its obligations under this Agreement due to reasons attributable to the manufacturer or upstream supplier of the Products (including without limitation, discontinuation of production, shortage of supply, price adjustment, capacity constraints, delay in delivery by the manufacturer or upstream supplier, or unilateral cancellation of order by the manufacturer or upstream supplier), such circumstances shall not constitute a breach by JOS, and JOS shall bear no liability for breach of contract or damages in connection therewith. In respect of sums already received by JOS corresponding to Products not yet delivered (if any), JOS shall refund such sums to the Customer.

8                     Maintenance Service

8.1               At the request of the Customer, JOS will provide the Customer with the quotation for the subsequent maintenance services for the Products after the warranty period and both Parties will otherwise sign a maintenance agreement.

9                     Intellectual Property Rights

9.1               The Customer shall not acquire any right or title to trademarks, design, copyright, patents or any other intellectual property rights in the Products.  The respective Manufacturer shall remain owner of such rights.

10                 Assignment

10.1            Neither party shall assign or transfer any rights or obligations under this Agreement without the other party’s prior written consent, whose consent shall not be unreasonably withheld.

11                 Force Majeure

11.1            Neither party to this Agreement shall be under any liability to the other for any failure to carry out or delay in carrying out, any of its obligations under this Agreement due to Force Majeure events provided that the relevant party promptly gives the other Party notice of the occurrence of Force Majeure. In this Agreement “Force Majeure” means an event unpredictable, unavoidable and beyond the reasonable control of a Party and includes, without limitation to, acts of God, storms, earthquake, floods, fires, riots, acts of war (declared or undeclared), civil commotions, strike, governmental restraints, acts of terrorism, hacker attack, computer virus infection,or failure of or insufficient power supply etc.

11.2            If the event of Force Majeure continues for more than 6 months from the date of the notice given pursuant to the preceding clause, then either Party shall be entitled to terminate this Agreement in respect of the unperformed part of this Agreement. Neither Party shall incur any liability to the other Party as a result of termination pursuant to this clause.

12                 Termination

12.1            This Agreement may be terminated by a Party if the other Party is in breach of any of its obligations under this Agreement and the breaching Party fails to remedy such breach within 30 days after the non-defaulting party has in writing notified the defaulting party of such breach.

12.2            This Agreement may be terminated forthwith by a Party if an order has been made or a resolution is passed for winding up or dissolution of the other Party or an encumbrancer should take possession or a receiver, administrator or a similar officer should be appointed of all the assets of the other Party or any substantial part thereof or the other has been declared bankrupt or has entered into liquidation proceedings.

12.3            If any of the following events occurs:

(1)  The Customer fails to make payment of any sum for a period more than 30 days after the same has become due;

(2)  The Customer goes into liquidation (whether compulsory or voluntary save only for the purpose of amalgamation or reconstruction) or becomes bankrupt;

(3)  The Customer makes any arrangement with creditors or any assignment for the benefit of creditors;

(4)  Any distress or execution shall be levied upon any of the Customer's property; or

(5) The Customer suspends, or threatens to suspend, payment all or any of the Contract Sum or is, or is deemed to be, insolvent or unable to pay all or any of the Contract Sum as they fall due for payment or admits inability to pay all or any of the Contract Sum.

then and in any of the aforesaid case, (i) JOS shall have the right to terminate this Agreement immediately; and (ii) the balance of the Contract Sum remaining unpaid together with all sums payable to JOS under this Agreement shall become immediately due and payable and shall be subject to overdue penalty at the rate of 0.5% per day until payment thereof; and (iii) without limiting any other right or remedy JOS may have hereunder, JOS shall have the right to lawfully enter upon any premises, lands or buildings on or in which the Products are situated or installed to repossess and/or resell the Products.

12.4            Should default be made by the Customer in paying any sum due under this Agreement as and when such sum becomes due, without prejudice to any other right or remedy JOS may have hereunder, JOS shall have the right to immediately suspend all further delivery of the Products and/or cease all further Services until such default has been made good.

12.5            The termination of this Agreement for whatever cause shall not release either Party from any of its obligations accrued under this Agreement prior to termination.

13                 Work by Third Parties

13.1            Nothing provided herein precludes JOS to retain other third party agents, contractors, sub-contractors or representatives to perform this Agreement, provided that JOS shall remain responsible to the Customer for work performed by other third parties.

14                 Entire Agreement

14.1            This Agreement embodies the entire agreement between the Customer and JOS relating to the subject matter hereof and supersedes all prior agreements, correspondences, understanding and arrangements (if any) between the Parties or any of them with respect to such matters referred to herein, whether written or oral.

15                 Amendment

15.1            No provision hereof may be amended or varied except by an instrument in writing and signed by the Parties.

16                 Notice

16.1            A notice, approval, consent or other communication in connection with this Agreement shall be in writing and shall be:

(a)    sent to the business address of a Party;

(b)    sent by (i)   pre-paid post to the aforesaid address; or

(ii)  sent by email to the email address as provided in the Quotation or otherwise advised by the receiving Party in writing subsequently;

(c)    sent for the attention of the person as provided in the Quotation or otherwise advised by the receiving Party in writing subsequently.

16.2            Notice takes effect from the time it is received unless a later time is specified in it.

17                 Severability

17.1            If any provision of these terms and conditions is held by any competent authority to be invalid or unenforceable in whole or in part, the validity of the other provisions of these terms and conditions and the remainder of the provisions in question shall not be affected.

18                 No Waiver

18.1            No failure to exercise or delay in exercising any right or remedy provided under this Agreement or by law shall be deemed to be a waiver of such right or remedy nor shall it prevent any future exercise or enforcement of such right or remedy unless expressly made in writing by the Party waiving its right or remedy.

18.2            No breach of or default under any of the provision of this Agreement may be waived or discharged unless expressly agreed in writing by both Parties hereto.

19                 Governing Law

19.1            This Agreement shall be governed by and construed in accordance with the laws in force in PRC.

20                 Dispute Settlement

20.1            The Parties may settle any dispute, controversy or claim arising out of or in connection with, this Agreement (“Dispute”), including the interpretation or performance thereof, through friendly consultations. If no settlement can be reached through amicable consultations, then the Dispute shall be settled by arbitration. Any dispute arising out of or in connection with this Agreement shall be referred to and finally resolved by arbitration in Shanghai International Economic and Trade Arbitration Commission/Shanghai International Arbitration Center (SHIAC) in accordance with the Arbitration Rules of SHIAC in effect at the time of applying for arbitration. The arbitral award is final and binding upon both Parties. The Tribunal shall consist of three (3) arbitrators, one appointed by each of the Parties and a chief arbitrator appointed by SHIAC. The arbitration proceedings shall be conducted in Chinese and the seat of arbitration is Shanghai. During the period when resolving a dispute, the Parties shall in all other respects continue their implementation of this Agreement.

21                 Inconsistencies

21.1            In the event of inconsistency or conflict between this Agreement and the Customer’s terms and conditions in any purchase order, agreement, contract, document or otherwise (irrespective of whether or not it is signed), in regards to the subject matter of this Agreement (“Customer’s PO”), this Agreement shall prevail, and shall solely and exclusively apply.
